1. Operator
noema.tools is operated by Lightweb.it, VAT number IT 02611230349, based in Italy. By accessing or using this website, you agree to be bound by these Terms of Service. If you do not agree, please discontinue use of the site immediately.
2. Scope
These Terms govern your use of the noema.tools website, including all pages, blog content, documentation, and downloadable files made available on the site.
Each product offered through noema.tools — Noema, Pragma, Morphē, and the Noema Chrome Extension — is subject to its own dedicated Terms of Service, available at the respective product pages. In case of conflict between these general Terms and a product-specific Terms, the product-specific Terms prevail.
The λεξις (Lexis) formal language specification is published as an open-access academic paper on Zenodo (DOI: 10.5281/zenodo.19302004) and is governed by the terms of its respective open-access license. These Terms do not restrict your use of that academic work.
3. Permitted Use
You may access and use noema.tools for lawful purposes only. You agree not to:
— use the site in any way that violates applicable local, national, or international law or regulation;
— attempt to gain unauthorized access to any part of the site or its infrastructure;
— scrape, crawl, or systematically extract content from the site without prior written permission from Lightweb.it;
— use the site to transmit unsolicited communications or malicious code;
— impersonate Lightweb.it, noema.tools, or any associated product or individual.
4. Intellectual Property
All content on noema.tools — including but not limited to text, graphics, logos, product names, UI design, and blog articles — is the property of Lightweb.it or its licensors and is protected by applicable intellectual property laws.
The Pragma desktop application is distributed as open-source software under the MIT License. Its source code is available at github.com/noema-tools/pragma. The MIT License governs your rights to use, copy, modify, and distribute that code.
Nothing in these Terms grants you any right to use the noema.tools name, logo, or branding in any manner without prior written consent from Lightweb.it.
5. Downloadable Software
Desktop application binaries (.msi, .AppImage) are provided for download free of charge and without registration. They are provided 'as is', without warranty of any kind, express or implied.
Your use of downloaded software is governed by the product-specific Terms of Service applicable to each product. For open-source products, the applicable open-source license also applies.
6. Third-Party Links and Content
noema.tools may contain links to third-party websites or resources, including AI provider documentation, the Zenodo paper repository, and GitHub. These links are provided for informational purposes only. Lightweb.it has no control over the content, privacy practices, or availability of third-party sites and accepts no responsibility for them.
Access to third-party AI APIs (Anthropic, OpenAI, Google) is configured and initiated entirely by the user. Lightweb.it is not a party to any agreement between the user and those providers.
7. Disclaimer of Warranties
The noema.tools website and all content, software, and materials made available through it are provided 'as is' and 'as available', without warranties of any kind, either express or implied. Lightweb.it does not warrant that the site will be uninterrupted, error-free, or free of viruses or other harmful components.
Lightweb.it makes no representations regarding the accuracy, completeness, or suitability of any content on the site for any particular purpose.
8. Limitation of Liability
To the fullest extent permitted by applicable law, Lightweb.it shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the noema.tools website or any product downloaded from it.
Lightweb.it's total liability for any claim arising under these Terms shall not exceed the amount paid by you, if any, for access to the relevant product or service in the twelve months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Italian or EU consumer protection law.
9. Privacy
Your use of noema.tools is also governed by our Privacy Policy, available at noema.tools/privacy/en. The Privacy Policy is incorporated into these Terms by reference.
Product-specific privacy practices are described in the dedicated privacy policy for each product.
10. Modifications to the Site and Terms
Lightweb.it reserves the right to modify, suspend, or discontinue any part of the noema.tools website at any time, without prior notice.
These Terms may be updated from time to time. When updated, the 'Last Updated' date will be revised. Continued use of the site after any changes constitutes acceptance of the updated Terms. Material changes will be noted in the noema.tools changelog.
11. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with Italian law, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Parma, Italy, except where mandatory consumer protection provisions of your country of residence require otherwise.
